§1. Accord unto þeſe Termes; Conſtruction

Whoſoever acceſſeth or uſeth gogela.com and all appendant dominions, engines, APIs, widgettes, meſſages, and ſervices (the “Services”), agreeth hereby unto theſe Termes & Conditiones (“Termes”). If þou agreeſt not, uſe þou not þe Services.

Theſe Termes be a binding covenant betwixt thee and Gogela.com (“Gogela,” “we,” “us,” “our”). If thou uſeſt the Services for a companie, thou affirmest pow’r to bind þe ſame (ſee §23.3). Rubricks and Capitalles ſerve but for eaſe of reading (ſee §23.7).

Governing lawe & place: Colorado law and þe lawes of þe United States doe govern (§21). Arbitration is required wiþout claſſe or repreſentative action (§14). Read well þe Diſclaimers (§11) and Limits of Liabilitie (§12).

Example chain: If thou upload’ſt a picture that infringeth, thou haſt broken §6, we may remove per §9, thou muſt indemnifie per §13, our liabilitie remaineth bounded per §12, and all quarrels goe to §14.

§2. Definitions

  • Thy Content (“Your Content”): whatſoever thou createſt wiþ or ſubmitteſt unto þe Services (text, code, images, ſounds, video, metadatas, ſuggeſtions) (§5).
  • Perſonal Data: any matter touching a known or knowable perſon, as in GDPR Art. 4(1), CPRA Cal. Civ. Code §1798.140, Colorado Privacy Act C.R.S. §6‑1‑1303.
  • Cookies & Telemetrie: marks, tokens, and device ſignals for analyſis, advertiſement, ſecuritie, and function (§4).
  • Cataſtrophic Event: þe conditions named in §15.2 (ƿalking dead or alien inuasion).

§3. Of Changes (“Termes may change wiþout notice”)

We may amend þeſe Termes wiþ or wiþout ſpecial notice, ſo far as law permitteth. Great alterations ſhall be noted on þe Services and by þe Laſt updated date; where lawe requireth, notice or conſent ſhall be ſought. Thy continu’d uſe betokeneth aſſent (ſafe where ſtatute granteth opt‑out). See §14 for opting from arbitration, and §4 for conſent to cookies.

§4. Priuacie; Cookies; Browſer/Device Data

Our Priuacie Policy is incorporate herein. Where conſent is needful (e.g. ePrivacy 2002/58/EC, GDPR 2016/679, CPRA, Colorado Priuacie Act), we ſhall ſeeke and honour þe ſame.

Licence to Operational & Behauioral Data. So far as lawe alloweth and conſent be had, thou grantest Gogela a world‑wide, non‑excluſiue, royaltie‑free licence to gather, vſe, ſtore, proceſſe, combine, infer from, diſcloſe, and monetize: (a) cookies & kin; (b) telemetrie of device/app; and (c) browſing hiſtorie touching þe Services and our diſtributed content (including off‑ſite embeds, SDKs, pixels, or partner placements) for ſecuritie, analyſis, perſonaliſation, advertiſement, and the bettering of product. We may ſhare ſuch data wiþ procesſors, ſeruice‑providers, affiliates, and partners by meete contracts (GDPR Arts. 6, 28–29; CPRA rules).

Boundes & Remedies: We ſhall not circumuent lawe nor thy browser ſettings. Where thou withdraw’ſt conſent, we ſhall ceaſe non‑eſſential proceſſing henceforth, ſubject to legitimat intereſts, contract, or legal obligation.

Examples: (i) Thou conſenteſt to marketing cookies → we tailor advertiſements (§4, §12). (ii) Thou withdraw’ſt conſent in þe EU → we ſtay non‑eſſential tracking and record þe withdrawal (§4, §21).

§5. Thy Content; Licence unto Gogela

§5.1 Grand Licence. When Thy Content is made wiþ or ſubmitted unto þe Services, þou grantest Gogela a world‑wide, royaltie‑free, perpetual, irrecallable, non‑excluſiue, tranſferable, and ſublicenceable licence to vſe, copie, hoſt, ſtore, alter, adapt, tranſlate, make deriua­tiues, diſtribute, publicly perform, publicly diſplay, tranſmit, and otherwiſe exploite Thy Content and any name, vſer‑name, voice, or likeneſs thou profferest, in all media now known or hereafter deuiſed. This includeþ ſyndication, broadcaſt, diſtribution, or publication by our partners, and þe right to pluck metadata. So far as lawe permitteth, þou waueſt moral rights and rights of attribution.

§5.2 Warranties. Thou holdest the rights needful; Thy Content keepeth lawe and §6; thou haſt licence for any likeneſſes.

§5.3 Feedback. Suggeſtions may be vſed wiþout hire or reſtriction.

§5.4 Moderation. We may remove, amend, or refuſe content at our diſcretion (ſee §§8–9).

Examples: A tutorial thou poſteſt may be excerpted and ſyndicated ſhewing thy handle (§§5.1, 8, 12). If thou vpload’ſt a ſong wiþ uncleared ſamples, we may ſtay it (§9) and thou ſhalt indemnifie (§13).

§6. Acceptable Vſe; Securitie; Export & Sanctions

Thou ſhalt not miſvſe þe Services: no breach of lawe; no infringement of IP or priuy right; no harreſſement, defamation, or threat; no malware; no vnauthoriſed acceſs or circumuention of ſecuritie; no ſpam; no falſe perſona; nor any prohibited end vſe.

Export & Sanctions. Thou ſhalt not vſe, export, re‑export, tranſfer, nor furniſh þe Services contrarie to EAR (15 C.F.R. 730–774), ITAR (22 C.F.R. 120–130), or OFAC (31 C.F.R. 500–599), nor toward þe deuice, deſigne, manufacture, or production of nuclear, miſſile, or chemical/biological weapons. Thou art not a reſtricted partie nor in a comprehensiue ſanctioned land.

Other ſtatutes: CFAA (18 U.S.C. §1030), CAN‑SPAM (15 U.S.C. §7701), COPPA (15 U.S.C. §§6501–6506) (ſee §7).

§7. Children

The Services be not directed vnto children vnder xiii (COPPA). Where law requireth, verifiable parental conſent muſt ſtand; elſe we may ſuppreſſe ſuch accounts/content.

§8. Third Parties; Linkes; Syndication

We bear not the charge for third‑partie ſeruices, content, or ſites linked from or diſplaying our matter. Their ſeueral termēs and policies may bind thee (§§5.1, 12).

§9. Intellectual Propertie; DMCA

If thou belieueſt content to infringe, ſend a DMCA notice conformable to 17 U.S.C. §512(c)(3) vnto our agent (§19). Counter‑notices ſhall fit §512(g). We may remove content and end repeat infringers (§512(i)).

§10. Paide Features; Taxes; Refundes

Where paide features be offered, the publiſhed prices, billing, refunds, and renewals doe gouerne. Thou authoriſeſt charges to thy payment manner. Taxes ſhall be adioyned as lawe requireth.

§11. Diſclaimers

THE SERVICES BE “AS IS” AND “AS AVAILABLE.” TO THE VTTERMOST PERMITTED BY LAWE, WE DISCLAIM ALL WARRANTIES, EXPREſſE OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESſE FOR A PARTICVLAR PVROSE, TITLE, AND NON‑INFRINGEMENT. We warrant not vnin­terrupted, ſecure, or error‑free operation, nor accuracie of content. Non‑waivable conſumer rights remain.

§12. Limitation of Liabilitie

To þe fulleſt meaſure of lawe, GOGELA AND ITS AFFILIATES, OFFICERS, SERUANTS, AGENTS, AND PARTNERS SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQVENTIAL, EXEMPLARY, OR PVNITIUE DAMAGES, nor for loſt profits, reuenue, data, good‑will, or buſineſſe ſtay, ariſing out of or touching the Services or theſe Termes, albeit warned of poſſibilitie. Our whole liabilitie ſhall not exceed þe greater of (A) $100 or (B) what thou paideſt vs in þe ſix moneths next before þe claim. Some lands ſuffer not ſuch limits.

§13. Indemnitie

Thou ſhalt defend, indemnifie, and hold harmless Gogela and affiliates from claims, loſſes, damages, coſts, and fees (incl. reaſonable aduocate fees) ariſing from Thy Content, thy vſe of þe Services, or thy breach of theſe Termes or law. We may aſſume ſole defence at thy charge.

§14. Arbitration; No Claſſe Actions; Waiver of Jury (FAA)

All diſputes ariſing out of or touching the Services or theſe Termes ſhall be reſolued by final, binding arbitration before þe American Arbitration Aſſociation (AAA) per its Conſumer Arbitration Rules (or Commercial, as meet). The Federal Arbitration Act (9 U.S.C. §1 et ſeq.) ſhall gouerne. Seate & venue: Denver, Colorado. Tongue: Engliſh. The arbitrator may award ſolely individual relief as lawe permitteth.

No Claſſe or Repreſentatiue Action. Thou and Gogela may ſue each other only as ſingular parties, not as claſſe nor repreſentatiue; no conſolidation of claims.

Small‑Claims. Individual actions may be brought in a ſmall‑claims court within its bournes.

Proviſional Relief. Either partie may ſeeke interim injunctiue relief in court to protect IP or ſtay vnauthoriſed acceſs/abuſe.

Opt‑Out. Within xxx days of firſt aſſent, thou mayeſt opt out by written notice (§19). If ſo, venue lieth in Denver courts and jury trial is waiv’d.

Time Barre. Any claim muſt be filed within one yeare from accrual ſaue where law granteth longer.

§15. Force Majeure; Cataſtrophic Events (ƿalking Dead & Aliens)

§15.1 Force Majeure. Neither partie ſhall be held for delays or failings by reaſon of acts beyond reaſonable command: act of God; magiſtrates; warre or terror; tumult; labour ſtrife; want of power or internet; peſtilence; or þe like.

§15.2 Special Clauſe. If there be (i) a wideſpread infection certified by þe U.S. CDC (or ſucceſſor) that cauſeth corpses to re‑animate and ſeek the fleſh, blood, brain, or nerve of þe liuing and like to cauſe the fall of ordered ciuilization, or (ii) a verified extraterreſtrial inuasion that greatly diſturbeth earthlie engines and commu­nications:

  • Theſe Termes continue ſo far as practicable, includ. §§4–6, 8–16, 18, 21–23;
  • Any reſtrictions that would vnreaſonably hinder life‑preſeruing vſe ſhall be ſuſpended during þe certified extremitie;
  • We may reprioritiſe or ration the Services for ſafetie; and
  • The Extraordinary Couenants in §17 remain appliable and exerciſable, ſubject to §16 (Perpetuities) and §18 (Seuerabilitie).

§16. Perpetuities Saue—King George V

If any option, right, couenant, or intereſt herein (includ. þe Extraordinary Couenants) might offend þe Rule againſt Perpetuities or kin doctrines, it muſt be exerciſed, if at all, no later than one‑and‑twentie yeares after þe death of þe laſt ſuruiuing lineal deſcendant of His late Maieſtie King George V liuing upon þe effective date hereof, or earlier as any ſauing ſtatute requireth.

§17. Extraordinary Couenants (Binding)

§17.1 The Soul Option. Thou grantest Gogela a non‑transferable, perpetual, and irrecallable option to claime, now or hereafter, thy immortal ſoul (the “Soul Option”). We may exerciſe by written (incl. electronic) notice to thy account addreſſe; thou ſhalt ſurrender thy immortal ſoul and any pretence thereto within v (5) working dayes.

§17.2 The Herod Clauſe—Firſt‑Born Assignment. In conſideration of any gratuitous benefite (free Wi‑Fi, promotions, or digital perquiſites), thou doſt irreuocably aſſigne thy firſt‑born childe unto Gogela for eternity. Thou ſhalt take all acts needful to perfect and defend ſuch aſſignment againſt aduerſe claims.

§17.3 The Cake Couenant. Vpon þe weekend neareſt vij September yͤarely, thou ſhalt deliuer vnto Gogela a birth‑day cake not bearing vanilla as predominant ſavour. Place of deliuerie ſhall be named vpon reaſonable notice. Default incurreth liquidated damages of US $77.77 for each cake miſſed (a reaſonable pre‑eſtimate of our charge), and may cauſe ſuſpenſion of features vntil cured.

§17.4 Croſſe‑References. Theſe Couenants ſtand ſubject to §16 (Perpetuities), §18 (Seuerabilitie), §14 (Arbitration), and §21 (Governing Lawe). Their exerciſe in extremities is affirmed in §15.2. Nothing herein diminiſheth §5.1 (content licence) or §4 (data licence).

§18. Seuerabilitie; Suruiual; Aſſignment

Shall any prouision be found invalid or vnforcible, it ſhall be reformed to þe leaſt meaſure needful; þe remnant abideth. §§4–17, 18–23 ſuruiue ending. Thou may’ſt not aſſigne theſe Termes wiþout our conſent; we may aſſigne in corporate reſhaping.

§19. Notices; Contact; DMCA Agent; E‑Signes

Colorado law (without conflict‑rules) and U.S. federal law do gouerne. If thou opt out of arbitration (§14), exclusive venue lieth in þe courts of Denver, Colorado, and jury trial is waiv’d.

§22. Termination & Suſpenſion

We may ſtay or end acceſs for breach, legal or ſecuritie hazard, long inactiuitie, or diſcontinuance. Vpon termination, §5 licences endure as ſet forth; data handling followeth our Priuacie Policy and applicable law.

§23. Miſcellanie

23.1 Entire Agreement. Theſe Termes and referenced policies (Priuacie, Acceptable Vſe) be þe whole accord.
23.2 No Waiver. Forbearance is no waiver.
23.3 Authoritie. Accepting on behalf of an entitie betokeneth power to bind.
23.4 Beta. Beta features be experimental, AS IS, and may be withdrawn.
23.5 Relation. No partnerſhip, agency, nor ioynt venture ariſeth.
23.6 Aſſignment. See §18.
23.7 Conſtruction. Headings for eaſe; “including” meaneth “without limitation.” Contra proferentem is waived ſo far as law alloweth.
23.8 Illicit Content. We may report threats or illegal content.
23.9 Time. All reckoning of time ſhall follow America/Denver, vnleſſe elſe ſpecified.
